01 Insolvency law and business crisis

Business crisis: understand it to prevent it

Declining profitability curve beside a company building

A crisis is a loss of economic, financial and balance-sheet equilibrium. When the imbalance is not recognised and managed in time, the risk is irreversible damage to business continuity.

Timeliness is key. Identifying early warning signs makes the difference between restoring balance and an irreversible outcome.

The causes of a crisis

External factors

Elements beyond the business owner's control that affect market conditions and reduce the company's ability to maintain balance and profitability.

  • Falling demand and changing consumer habits
  • High financing costs driven by high interest rates
  • Inflation and rising raw material and energy prices
  • Geopolitical uncertainty and unstable supply chains

Internal factors

Internal management inefficiencies or delays that undermine operational soundness, financial resilience and the ability to adapt to the market.

  • Inadequate organisational and administrative structures
  • Liquidity crises and structural financial imbalances
  • Lack of technological innovation and outdated business models
  • Strategic errors and unsustainable investments

An effective control system turns data into strategic information, and information into timely decisions.

08 Tax Control Framework

Tax risk, governed from within

Bowling lane with the bumpers raised and the word Insurance: the TCF keeps tax management on track

The Tax Control Framework (TCF) is the system through which a company identifies, measures, manages and controls its tax risk. We design and implement it together with management, embedding it in the processes and controls the company uses every day.

An effective TCF is the prerequisite for joining the cooperative compliance regime with the Italian Revenue Agency (Legislative Decree 128/2015, as reformed by Legislative Decree 221/2023), now open to a growing number of companies, and it makes tax management orderly, documented and defensible.

Tax stops being a risk discovered after the fact and becomes a variable managed in advance.

Tax risk mapping

Analysis of business processes with a tax impact and identification of the points where a risk may arise, whether of compliance or of interpretation.

Tax strategy and rules

Defining the tax strategy, roles and responsibilities, and the procedures and controls that make up the system.

Implementation and testing

Embedding controls in processes and periodically testing their effectiveness, with any corrective action required.

Monitoring and reporting

Continuous updating of the system and periodic reporting to the management bodies on risks identified, control outcomes and actions taken.

The process, step by step

  1. Baseline assessment

We review processes, existing controls and requirements to establish the gap to an adequate system.

  2. Designing the TCF

We build a tailored system: tax strategy, risk map, procedures and controls.

  3. Implementation

We support the company's functions in adopting the rules and documenting the controls.

  4. Cooperative compliance

We guide the company through certification and admission to the regime, and in its ongoing dialogue with the Agency.
